Version 2.4 · Last updated: 14 October 2026 · In force from: 11 octombrie 2026

In brief, without replacing the full text:

  • We sell to businesses (SRL, PFA, II, IF and other entities with a tax identification number (CUI)) and to individuals.
  • Businesses see prices excluding VAT; individuals pay the price with VAT included.
  • You pay monthly, in advance, by bank transfer, on the basis of a pro forma invoice. We never take money automatically.
  • Every package has a minimum term, paid monthly: Presence 12 months, Complete 6 months and Growth 3 months. You pay one month at a time, at the package's monthly price, not the whole term in advance.
  • You can request cancellation at any time by email. If made during the minimum term, cancellation takes effect at the end of the minimum term; after that, at the end of the paid month (Article 8.9).
  • Within the first 14 days after your website is published, you can request a full refund, on any package; the contract then ends with no further obligations, including the rest of the minimum term.
  • You buy and pay for the .ro or .eu domain yourself, at the registrar of your choice (about €12/year); it is in your name, and we configure it.
  • If you are an individual (consumer), you also have the statutory 14-day right of withdrawal and the other rights in Article 21.

1. Who we are and what the terms used mean

The Provider: Secure IT Solutions SRL, with its registered office at Str. Pescărușului nr. 4, bl. D4, sc. B, et. 4, ap. 29, Sector 2, București, tax identification number (CUI) RO20624157, registered with the Trade Register (Registrul Comerțului) under no. J2007000751400, email contact@e-gata.ro, WhatsApp +40 750 293 932. The Provider operates the e-gata.ro service (“e-gata”, “we”).

The Client: the person who activates a subscription and whose details appear on the pro forma invoice. The Client may be:

  • a professional: a legal entity, authorised natural person (PFA), sole proprietorship (întreprindere individuală), family business (întreprindere familială) or other entity with a CUI, acting for its business;
  • a consumer: a natural person acting for purposes outside their trade, business, craft or profession. For simplicity, we treat as a consumer any natural person who orders without a CUI.

Other terms used:

  • Demo: the presentation page generated automatically for a business, before any order is placed.
  • Website: the presentation website published for the Client after payment.
  • Start Date: the day on which e-gata confirms payment of the first pro forma invoice; the contract is concluded on that day (Article 4.4).
  • Publication Date: the day on which the website becomes accessible on the Client's domain.
  • Subscription Month: the one-month period for which a monthly fee is paid. The first Subscription Month begins on the Publication Date; each following one begins on the same date of the next month.
  • Minimum Term: the first consecutive Subscription Months that the Client commits to keeping: 12 on the Presence package, 6 on the Complete package and 3 on the Growth package (Article 8.9).
  • Domain: the website address (for example, companyname.ro), bought by the Client from a registrar (Article 10.1).

2. Who we serve: businesses and individuals

2.1. e-gata concludes contracts with professionals and with consumers. On activation, the Client chooses whether they are buying as a “Company, PFA, II or IF” or as an “Individual”.

2.2. For businesses, the CUI is mandatory and is checked automatically against the public database of the National Agency for Fiscal Administration (ANAF). The person completing the form ticks the following declaration: “I declare that I am acting on behalf of the company indicated above, for purposes related to its professional activity, and that I am entitled to represent it.” Without this declaration, the activation as a business cannot be submitted.

2.3. For individuals, neither a CUI nor the declaration in Article 2.2 is required. In addition to these Terms, Article 21 (Provisions for consumers) applies to them and prevails in case of any difference. If a person who bought using a CUI shows that they in fact acted as a natural person outside a professional activity, we apply Article 21 to them.

3. Demos

3.1. On e-gata.ro, anyone can generate a demo free of charge by entering: the display name (a company name, a brand or a personal name), the field of activity, the town or city and an email address or telephone number. The CUI is optional: if it is entered, we automatically fill in the company's details from the public ONRC/ANAF registers (for example, the official name and field of activity). e-gata may also generate demos on its own initiative, for companies it considers potentially interested; in that case it uses only the company's public data from the ONRC/ANAF registers and from its website (Notice to Contacted Companies).

3.2. The demo uses the data entered by the visitor and, only if a CUI was entered, the company's public data from the ONRC/ANAF registers. The texts are created with the help of artificial intelligence, and the images are generic presentation images for the field concerned. We do not use photographs of the business taken from the internet and we do not copy reviews. The data entered is processed to generate and show the requested demo, at the person's request, before any contract (Art. 6(1)(b) GDPR); follow-up emails about the demo are sent only with the person's separate consent. Details in the Privacy Policy.

3.3. The demo is free of charge and creates no obligation. It is not indexed by search engines (noindex) and is accessible only via its link.

3.4. The demo is deleted automatically after 7 days if it is not activated, together with the data entered for it (unless the person asked for the demo to be sent by email; in that case the periods in the Privacy Policy apply). The person who requested it or the business's representatives may at any time request the immediate deletion of the demo and may object to any future processing: via the “I don't want this demo” link on the demo page or by email to contact@e-gata.ro. Details in the Notice to Contacted Companies and in the Privacy Policy.

3.5. If a demo contains an error about the business or uses it without right (for example, the name of a trade mark), you can write to us and we will correct or delete it immediately.

4. How the contract is concluded

4.1. The Client clicks “Activate”, chooses whether they are buying as a business or as an individual, chooses the package and fills in their details: businesses enter the CUI (the company details are filled in from ANAF) and the contact person's details; individuals enter their name, address, email and telephone number. The Client also states the domain they own or will buy (Article 10.1). Before submitting, the Client sees a summary showing the package, the monthly price excluding VAT, the VAT and the monthly total (for individuals, the total including VAT is shown as the main price), as well as the Minimum Term of the chosen package (12 months on Presence, 6 months on Complete, 3 months on Growth); the Client can correct any information.

4.2. Businesses tick the declaration in Article 2.2 and the acceptance of these Terms and of the Data Processing Agreement (DPA). Individuals tick the acceptance of these Terms and confirm that they have received the pre-contractual information; optionally, they may ask for the service to start immediately (Article 21.4). No box is pre-ticked. The order is submitted with the button “Order with obligation to pay”.

4.3. e-gata automatically issues the pro forma invoice for the first month and sends it by email, together with these Terms and the DPA, in the form in which they were accepted.

4.4. The contract is concluded on the date on which payment of the first pro forma invoice is confirmed (the “Start Date”). Until payment, neither party has any obligations. An unpaid pro forma invoice expires after 30 days, without any consequence.

4.5. e-gata keeps proof of acceptance: the date and time, the IP address, the version of the Terms and of the DPA and the text of the declaration.

5. Packages

Package What it includes
Presence, €39.90/month + VAT (€48.28/month including VAT), 12-month Minimum Term (Article 8.9) a presentation website tailored to the field of activity; hosting; configuration of the Client's domain (the Client buys and pays for the domain, Article 10.1); SSL certificate; one professional email address on the Client's domain; contact form; 1 content change per month, requested by email or WhatsApp
Complete, €139.90/month + VAT (€169.28/month including VAT), 6-month Minimum Term (Article 8.9) everything included in the Presence package, plus creation of the Client's business social media accounts on Facebook, Instagram and TikTok, if the Client does not already have them (Article 5.6), plus 8 posts per month, published on Facebook, Instagram and TikTok (Articles 5.2 and 5.5)
Growth, €269.90/month + VAT (€326.58/month including VAT), 3-month Minimum Term (Article 8.9) everything included in the Complete package, plus creation (where needed) and management of the Google Business Profile, management of Meta ads (the advertising budget is paid separately, directly to Meta), an AI chatbot on the website and a CRM on the Client's website, at /crm, for enquiries received through the website contact form (Article 5.7)

5.1. A change means a one-off modification: a price, a text, an image, the opening hours or a new service in a list. Unused changes are not carried over. Work that goes beyond the package (new pages or features, an online shop, extensive texts) is quoted separately and carried out only with the Client's written agreement.

5.2. Social media posts (Complete and Growth packages) are prepared by e-gata on the basis of the information on the Client's website and the materials and instructions received from the Client, and are published without prior approval of each post. The Client may give general instructions at any time (topics, offers to promote, subjects to avoid). e-gata does not publish prices, promotions or claims about the business that the Client has not communicated or that do not appear on the Client's website. The Client may at any time ask for a post to be corrected or deleted, and e-gata does so within no more than 1 working day of the request. Images generated with artificial intelligence are labelled “AI-generated”. The packages do not include a monthly report.

5.3. The website displays the notice “Made with e-gata.ro”. It may be removed only on the Growth package.

5.4. For additional email addresses, e-gata may make a separate offer.

5.5. TikTok (Complete and Growth packages). On TikTok, e-gata publishes posts made from the materials the Client sends (video clips or photos, published as they are or as a photo slideshow), through the access the Client grants and may withdraw at any time. e-gata does not film, produce or edit video clips. Sending a material for publication constitutes the Client's consent to its publication. The Client warrants that they hold the necessary rights to the materials (including the image of the people appearing in them and the music) and that they comply with the law and with TikTok's rules; e-gata may refuse to publish a material that does not comply. If in a given month the Client does not send materials suitable for TikTok, e-gata may use photos received earlier or may publish that month only on Facebook and Instagram, without the price changing. 5.6. Creation of social media accounts (Complete and Growth packages). If the Client does not already have business accounts, e-gata creates and configures them on behalf of and in the name of the Client, together with the Client: the Facebook Page is created from the personal profile of the Client (or of a person designated by the Client), who remains the main administrator, and e-gata receives delegated access; the Instagram and TikTok accounts are created in the name of the business, with the Client's email address and telephone number. e-gata does not create personal profiles on behalf of other people. The accounts belong to the Client and remain the Client's after the contract ends; e-gata does not keep the passwords of the Client's personal accounts and removes its own access on termination. The Client accepts the platforms' terms of use.

5.7. CRM (Growth package). Enquiries sent by visitors through the contact form of the Client's website are saved in a CRM installed on the Client's website, at /crm (for example, yourbusinessname.ro/crm), hosted on the hosting included in the subscription. In the CRM, the Client sees the enquiries in a list, marks them (new, contacted, customer) and adds notes. Access is by an account and password created by e-gata for the Client; the Client keeps the access details confidential and is responsible for their use. The CRM holds only enquiries from the website form, not messages received on Facebook, Instagram or other channels. The Client is the controller of the data in the enquiries, and e-gata processes them as processor (Article 16.2 and the DPA). On termination of the contract, the Client may request an export of the enquiries from the CRM (CSV file) within the same 30-day window as the website archive (Article 8.7); after that window expires, the data in the CRM is deleted.

6. Price

6.1. Prices are in euros, according to the list on the activation page on the date of activation. For businesses, list prices are excluding VAT, to which VAT is added at the statutory rate. For individuals, the price displayed and paid is the total price, VAT included; no other charges payable to e-gata are added. The total including VAT is shown before the order is submitted and on the pro forma invoice.

6.1.1. Monthly prices: Presence — €39.90 + VAT (€48.28 including VAT), 12-month Minimum Term; Complete — €139.90 + VAT (€169.28 including VAT), 6-month Minimum Term; Growth — €269.90 + VAT (€326.58 including VAT), 3-month Minimum Term. VAT is calculated on each monthly pro forma and invoice. During the Minimum Term, one monthly subscription is paid each month, at the price above (Article 8.9).

If the VAT rate is changed by law, the price including VAT changes accordingly only for the months invoiced after the change.

6.2. There is no installation (setup) fee. Every package has the Minimum Term in Article 8.9: Presence 12 months, Complete 6 months, Growth 3 months.

6.3. Payment is monthly, at the list price, including during the Minimum Term. We do not offer discounts for the Minimum Term or for paying for several months.

6.4. The tax invoice is issued after payment is received and is transmitted through the RO e-Factura system. Prices are expressed in euro; the pro forma invoice and the tax invoice show the equivalent in lei at the National Bank of Romania (BNR) rate of the day of issue, as applied by SmartBill. The Customer pays the amount in lei shown on the pro forma invoice; any exchange-rate difference between the pro forma date and the invoice date is not charged to the Customer.

6.5. The monthly price does not change during the Minimum Term of the package. After the Minimum Term, any price change is communicated by email at least 30 days in advance and applies only to Subscription Months that begin after that period; a Client who does not agree may cancel beforehand, and the new price will not apply to them.

6.6. We do not charge any additional fee for payment. For bank transfers, each party bears its own bank's charges.

6.7. The domain is not included in the price. The Client pays for the domain directly to the registrar of their choice (as a guide, about €12 per year for a .ro or .eu domain; the exact price is set by the registrar). e-gata does not collect or intermediate this amount.

7. Payment

7.1. Payment is made monthly, in advance, on the basis of the pro forma invoice. The first pro forma invoice is paid on activation; for each following Subscription Month, e-gata sends the pro forma invoice by email at least 7 days before the month begins. Payment is made by bank transfer, to the account shown on the pro forma invoice, in lei, at the National Bank of Romania (BNR) rate of the day the pro forma invoice is issued, as applied by SmartBill and shown on the pro forma invoice (prices remain expressed in euro, Article 6.1); in the payment details the Client states the series and number of the pro forma invoice, so that the payment can be identified.

7.2. No amount is ever taken automatically: every payment is initiated by the Client.

7.3. The website is published after payment is confirmed and once the domain can be configured (Article 10.1), usually within 48 working hours of both conditions being met. For bank transfers, the period runs from receipt of the funds. For consumers who have not requested an immediate start, Article 21.4 applies.

8. Duration, monthly payment, cancellation and guarantee

8.1. Duration. The contract is concluded for an indefinite period, with monthly payment, from the Start Date. The first Subscription Months are the Minimum Term of the package: 12 months on Presence, 6 months on Complete, 3 months on Growth (Article 8.9).

8.2. Monthly payment by pro forma invoice, without automatic charging. Each Subscription Month is paid in advance, on the basis of the pro forma invoice sent under Article 7.1. Paying the pro forma invoice covers the Subscription Month concerned. If the pro forma invoice is not paid, Article 9 applies. The Client may change the package under Article 8.10.

8.3. Cancellation. The Client may cancel the subscription at any time, without giving reasons, by any of the following means:

  • an email to contact@e-gata.ro, sent from any address, stating the company name or CUI (individuals: their name);
  • the “Withdraw from the contract here” function (Article 8.6).

We do not require a telephone call and do not make cancellation conditional on anything. e-gata confirms the cancellation by email within no more than 2 working days and states the date on which the contract ends.

8.4. Effect of cancellation.

  • During the Minimum Term (any package): cancellation takes effect at the end of the Minimum Term of the package, in accordance with Article 8.9.
  • After the Minimum Term: cancellation takes effect at the end of the Subscription Month already paid. Until then, the services continue, and no further pro forma invoices are issued.

After the first 14 days following publication, amounts paid in advance for the current month are not refunded, subject to the exceptions in Articles 8.5, 8.9(c), 9.5 and 21 (consumers).

8.5. The “satisfied or your money back” guarantee. Within the first 14 days from the Publication Date, the Client may request a full refund of the amounts paid, without giving reasons, by email or through the function described in Article 8.6. In this case:

  • the contract terminates on the date of the request, including the Minimum Term of the package; the Client does not owe the remaining months;
  • the website is taken offline;
  • the domain remains the Client's;
  • the refund is made within no more than 14 days, using the same means of payment.

If the Client has paid but the website has not yet been published, they may also request a full refund, with the same effects. The guarantee is granted only once per Client (per CUI for businesses, per person for individuals).

The guarantee is a commercial guarantee, offered by e-gata in addition to the law. It does not replace or limit consumers' statutory rights, in particular the 14-day right of withdrawal and the legal guarantee of conformity (Article 21).

8.6. Online withdrawal function. On every page of e-gata.ro, in the footer, there is the link “Withdraw from the contract here”, which leads to a simple form: the name, whether the Client bought as a business or as an individual, the contract concerned (the subscription or a pro forma invoice), the number of the pro forma invoice, invoice or contract (optional, but helpful) and the email address for confirmation. Businesses state the company name or CUI; individuals are not asked for a CUI. Optional fields (telephone, address, reason) do not condition submission. The form is submitted using the “Confirm withdrawal” button. The Client immediately receives by email a confirmation containing the content of the request and the date and time of submission. The form is used for cancellation, for the guarantee, for cancelling an unpaid pro forma invoice and, by consumers, for exercising the statutory right of withdrawal (Article 21.3). The effects are those set out in Articles 8.4, 8.5, 8.9 and 21. Details: Withdrawal from the contract.

8.7. After termination. Upon request, within 30 days of termination, e-gata hands over to the Client an archive containing the website files and the materials supplied by the Client (on the Growth package, also the export of the enquiries from the CRM, in CSV format, Article 5.7), communicates the DNS records used and helps the Client move the website and email to another provider. The domain and the social media accounts remain the Client's; e-gata removes its access to them.

8.8. Switching from an individual to a company. A Client who is an individual may at any time ask, by email to contact@e-gata.ro, for the subscription to be transferred to their company (SRL, PFA, II, IF), stating the CUI. The month already paid continues unchanged and is not re-invoiced; subsequent pro forma invoices are issued to the company, at business prices (excluding VAT, with VAT added). The current Minimum Term continues, without a new one starting. The change of the domain holder to the company is made by the Client, at their registrar, under the registrar's rules; e-gata updates the configuration, if needed, at no cost. From the date of transfer, the provisions for professionals apply to the Client; rights that arose while they were a consumer (for example, a withdrawal already requested) remain unaffected.

8.9. The Minimum Term: 12 months on Presence, 6 months on Complete, 3 months on Growth. a) What it means. The Client commits to keeping the subscription for a number of consecutive Subscription Months, starting on the Publication Date, and to paying the monthly fees for that period, one per month, on the basis of the monthly pro forma invoices:

  • Presence: 12 months, at €39.90 + VAT per month for businesses, or €48.28 per month including VAT for individuals;
  • Complete: 6 months, at €139.90 + VAT per month for businesses, or €169.28 per month including VAT for individuals;
  • Growth: 3 months, at €269.90 + VAT per month for businesses, or €326.58 per month including VAT for individuals.

The Minimum Term is not paid in advance, there is no installation fee and no termination penalty. The monthly price does not change during the Minimum Term (Article 6.5).

b) Cancellation during the Minimum Term. The Client may cancel at any time (Article 8.3). A cancellation made during the Minimum Term takes effect at the end of the Minimum Term of the package. Until then, the service continues in full (website, hosting, email, the monthly change and, where applicable, the posts, Google Business, ads and the chatbot), and the monthly pro forma invoices are issued and paid as usual. At the Client's request, the remaining months may also be paid in one go, but this is not mandatory. Apart from these monthly fees, the Client owes no other amount (penalty, cancellation fee or interest).

c) When the Minimum Term no longer applies. The contract terminates without the remaining months being owed, and amounts paid for the unused period are refunded where these Terms so provide:

  • the 14-day guarantee (Article 8.5);
  • the consumer's statutory withdrawal (Article 21.3);
  • e-gata fails to perform its essential obligations and does not remedy the situation within 15 days of the Client's notice by email, or the digital service is not in conformity and is not brought into conformity (Article 21.6);
  • e-gata changes the Terms or the services to the Client's detriment, and the Client does not accept the change (Articles 18 and 21.7);
  • e-gata stops the service for reasons attributable to it (Article 9.5).

d) Non-payment during the Minimum Term. Article 9 applies. If the contract terminates for non-payment before the end of the Minimum Term:

  • businesses owe the unpaid fees that have fallen due and, by way of compensation, the value of the monthly fees remaining until the end of the Minimum Term; - consumers owe only the fees that have fallen due for the months in which the service was provided; the remaining months do not become payable. e) After the Minimum Term. The contract continues monthly, with no new minimum term, each month being paid on the basis of a pro forma invoice. At least 30 days before the end of the Minimum Term, e-gata emails the Client to say that the Minimum Term is ending, that the subscription continues monthly and how to cancel it. After the Minimum Term, the Client may cancel at any time, with effect at the end of the paid month (Article 8.4). 8.10. Changing package. The Client may switch to another package by email, including during the Minimum Term; the change takes effect from the next Subscription Month, at the price of the new package. All consecutive Subscription Months, on any package, count towards the Minimum Term. After the switch, the Minimum Term ends on the later of: (a) the end of the current Minimum Term and (b) the date on which the total number of months of the new package's Minimum Term has been reached. Examples: switching from Growth to Presence after 2 months means the Minimum Term ends after 12 Subscription Months in total; switching from Presence to Complete after 4 months does not shorten the 12-month Minimum Term. In the remaining months of the Minimum Term, the price of the package used in that month is paid. 8.11. Contracts concluded before version 2.3. The 6-month Minimum Term on Complete and the 3-month Minimum Term on Growth apply only to contracts concluded (Start Date) from the entry into force of version 2.3 of these Terms. Clients who already had a Complete or Growth subscription keep it without a Minimum Term; if they switch to another package after that date, Article 8.10 applies. ## 9. Late payment and suspension

9.1. If the pro forma invoice for a Subscription Month is not paid by the beginning of that month, e-gata sends a reminder by email.

9.2. Months after the Minimum Term. If the pro forma invoice is not paid within 14 days of the reminder, e-gata sends a warning and may suspend the website and the social media services. If the pro forma invoice is still not paid within 30 days of the beginning of the month, the contract terminates by operation of law, without further formalities. Days after the end of the last paid month are not invoiced, and the Client owes nothing for them.

9.3. Months within the Minimum Term (the first 12 months on Presence, 6 on Complete, 3 on Growth). 14 days after the due date, e-gata sends a warning. 30 days after the due date, e-gata may suspend the website, with prior notice by email. If the suspension lasts a further 30 days, the contract terminates by operation of law, with the effects set out in Article 8.9(d). Reactivation during the suspension period is achieved by paying the outstanding amount.

9.4. The professional email continues to work for at least 15 days after suspension, so that the Client does not lose their correspondence. The domain remains the Client's in all cases.

9.5. If e-gata stops the service for reasons attributable to it, it refunds the unused part of the paid month, and the Minimum Term no longer applies.

10. Domain, email, content and ownership

10.1. The domain. - a) Purchase and payment. The Client buys (registers) the .ro or .eu domain from a registrar of their choice, in their own name, and pays the fee directly to the registrar (Article 6.7). The Client may also use a domain they already own. On request, e-gata explains the steps.

  • b) The holder. The holder of the domain is the Client. e-gata does not become the holder and has no right over the domain.
  • c) DNS access, needed for publication and email. To publish the website and configure email, the Client gives us access to the domain's DNS, in one of the ways indicated by e-gata: changing the domain's name servers (DNS) to those communicated by e-gata, adding the DNS records we send, or granting us delegated access in the registrar account, if the registrar allows it. e-gata does not ask for the password of the registrar account. On the basis of this access, e-gata configures the records for the website, email and the SSL certificate. The publication period in Article 7.3 runs from receipt of the access.
  • d) Renewal is the Client's responsibility. The Client renews and pays for the domain at the registrar, on the registrar's deadlines. e-gata may send a reminder when it knows the expiry date, without being obliged to do so and without taking on responsibility for the renewal.
  • e) If the domain expires or is suspended. If the domain expires, is suspended or transferred, or the DNS is changed by the Client or the registrar, the website and email no longer work on that domain, and messages sent to the email address in the meantime may be lost. This is not a failure by e-gata to perform. The subscription continues; once the Client restores the domain, e-gata republishes the website and restores the configuration within no more than 48 working hours. e-gata is not liable for loss of the domain (for example, if after expiry it is registered by someone else).
  • f) On termination, the domain remains the Client's. The Client may move the DNS to another provider; e-gata communicates the necessary records (Article 8.7).

10.2. The professional email (1 address) works for the duration of the contract, as long as the domain is active. The Client is responsible for using it lawfully. For example, they do not use it for unsolicited commercial messages. Before termination, the Client may export their messages.

10.3. The Client's content (logo, texts, photographs, clips, information about services) remains the Client's. The Client grants e-gata a non-exclusive licence, for the duration of the contract, strictly for the purpose of providing the services.

10.4. Posts created for the Client may be used by the Client without limitation, including after termination.

10.5. The design, templates and code of the e-gata platform remain e-gata's. For the duration of the contract, the Client has the right to use the website. After termination, the Client may continue to use, without time limit, the files of their website as handed over to them (Article 8.7).

10.6. Texts generated with the help of artificial intelligence are made available to the Client without any limitation on use. e-gata does not guarantee their exclusivity.

10.7. e-gata may present the website in its portfolio, unless the Client objects by email.

11. e-gata's obligations

e-gata undertakes:

  • to provide the services with professional diligence;
  • to configure the domain (DNS, email, SSL) and publish the website within the period in Article 7.3;
  • to ensure reasonable availability of the hosting (target: 99.5% per month), except for announced maintenance and force majeure;
  • to make the requested changes within no more than 3 working days of receiving all the necessary information;
  • to reply to messages during business hours, Monday–Friday, 9:00–18:00, except on public holidays. The AI assistant on the website also replies outside business hours, but does not make decisions on behalf of e-gata;
  • to keep the Client's information confidential and to apply the security measures set out in the DPA.

12. The Client's obligations

The Client undertakes:

  • to provide correct and up-to-date information about the business;
  • to buy, pay for and renew the domain on time and to give e-gata the necessary DNS access (Article 10.1); not to change the DNS configuration made by e-gata without telling us;
  • to hold the necessary rights to the materials sent (images, clips, texts, logo, trade marks) and to ensure that they do not infringe the law or the rights of others;
  • to comply with the legislation applicable to their own activity: authorisations, price display, providing information to their own customers, the professional ethics rules of the profession where these exist (for example, in the medical or veterinary field), and protection of the data of the website's visitors;
  • not to request the collection of sensitive data (for example, health data) through the website's forms without a separate agreement;
  • to report incorrect posts or information as soon as possible, so that we can correct them (Article 5.2).

13. The AI assistant and automatically generated content

13.1. The chat assistant on e-gata.ro and the chatbot included in the Growth package are artificial intelligence systems and present themselves as such. Their answers are for information only and may contain errors. They do not change prices, the Terms or offers and do not make decisions with legal effect. For any decision, the assistant transfers the conversation to a human.

13.2. On the Client's website (Growth package), the chatbot always displays that it is an AI assistant. The Client may not request that this notice be hidden.

13.3. Texts and images created with the help of AI are checked by e-gata before publication. The website texts are based on the demo the Client saw and on the information received from the Client. Social media posts are published without prior approval of each post, subject to the rules and the right of correction in Article 5.2.

14. Hosted content: rules, notices and moderation

This section describes the rules for hosted content, in accordance with Regulation (EU) 2022/2065 on a Single Market for Digital Services (Digital Services Act, DSA).

14.1. Our role. e-gata hosts the Clients' websites. Content supplied by the Client is the Client's responsibility. e-gata does not check it in advance, but acts when it becomes aware of illegal content.

14.2. Prohibited content. The following are prohibited on hosted websites:

  • (a) illegal content of any kind;
  • (b) infringement of copyright, trade marks or other rights;
  • (c) phishing, malware, scams or impersonation of another company;
  • (d) products or services whose sale is prohibited;
  • (e) content that incites hatred or violence or that is defamatory;
  • (f) publication of other people's personal data without a legal basis;
  • (g) sexually explicit content;
  • (h) misleading advertising;
  • (i) use of the email or servers for unsolicited commercial messages.

14.3. How anyone can notify us. Any person may report content they consider illegal using the form on the Report illegal content page or at contact@e-gata.ro. We send an acknowledgement of receipt, examine the notice diligently and objectively, and communicate the decision to the person who submitted the notice.

14.4. Moderation. Notices are examined by a person. We use automated tools only for security purposes (for example, detecting malicious software or spam), not to decide on the legality of content without human intervention.

14.5. Possible measures, proportionate to the seriousness of the matter:

  • a request for correction addressed to the Client;
  • removal of, or disabling access to, an item (an image, a text);
  • restriction of a page;
  • temporary suspension of the website, only for serious violations (for example, active phishing or malware) or repeated violations.

In emergencies (danger to the safety of persons, phishing, malware), we may block content immediately and inform afterwards.

14.6. Statement of reasons. When we restrict a Client's content, we send the Client by email, at the latest when the measure is applied, a statement of reasons that includes:

  • the measure taken, its scope and its duration;
  • the facts on which the decision was based and whether it was prompted by a notice;
  • whether automated means were used;
  • the legal basis or the clause of these Terms that was breached;
  • the available means of redress.

14.7. Appeals. The Client may challenge the decision at any time by replying to the email with explanations or evidence. We review the decision and reply within no more than 5 working days. The Client may also apply to an out-of-court dispute settlement body certified under the DSA, to the National Authority for Management and Regulation in Communications (ANCOM) (the Digital Services Coordinator for Romania), or to the courts.

14.8. Abusive notices. If a person repeatedly submits manifestly unfounded notices, we may temporarily suspend the processing of their notices, after a warning.

14.9. Authorities. We comply with orders from the competent authorities, in accordance with the law, and inform the Client, unless the authority requires otherwise. If we become aware of information indicating a criminal offence that endangers the life or safety of persons, we inform the authorities.

15. Limitation of liability

15.1. e-gata's total liability towards the Client, for any cause, is limited to the amount paid by the Client in the last 12 months for the service in connection with which the damage arose.

15.2. e-gata is not liable for:

  • indirect damage (loss of profit, loss of clientele);
  • the commercial results of the website, the posts or the ads (we do not guarantee Google rankings or customers);
  • decisions of third-party platforms (for example, suspension of pages or ad accounts by Meta, TikTok or Google);
  • expiry, suspension or loss of the domain, actions of the registrar chosen by the Client and DNS changes made by the Client or the registrar (Article 10.1);
  • interruptions caused by third parties (the .ro or .eu registry, registrars, internet providers).

15.3. The limitations do not apply in the event of intent (wilful misconduct) or gross negligence, nor where the law does not permit them.

15.4. In relation to consumers, the limitations in this article apply only to the extent permitted by law; they do not affect the rights in Article 21 (including remedies for lack of conformity).

16. Personal data

16.1. The data of the Client's representatives are processed by e-gata as controller, in accordance with the Privacy Policy.

16.2. Data submitted by visitors to the Client's website through forms (including those saved in the CRM and those sent through the chatbot, both on the Growth package, Article 5.7) are processed by e-gata as processor, on behalf of the Client, in accordance with the DPA, which forms part of these Terms.

17. Force majeure

Neither party is liable for non-performance caused by force majeure, under the conditions of Article 1351 of the Romanian Civil Code (Codul civil), provided that it notifies the other party within no more than 5 days.

18. Changes to the Terms

e-gata may amend these Terms, with notice by email at least 30 days in advance. The amendments apply from the first Subscription Month beginning after that period. A Client who does not agree may cancel before the amendment applies; the amendment does not apply to them, and if the cancellation takes place during the Minimum Term, the Client does not owe the remaining months (Article 8.9(c)). Amendments required by law may apply earlier, with notice. For consumers, Article 21.7 also applies.

19. Communications

Communications are made by email, to the addresses indicated by the parties (for e-gata: contact@e-gata.ro). Email has the value of a written document between the parties. WhatsApp (+40 750 293 932) may also be used for support, but cancellation, the guarantee and complaints are confirmed by email.

20. Governing law and disputes

The contract is governed by Romanian law. The parties will first attempt to settle any dispute amicably. If they do not reach agreement within 30 days, a dispute between professionals will be settled by the competent courts at e-gata's registered office. For consumers, Articles 21.10 and 21.11 apply.

21. Provisions for consumers

This article applies only to Clients who are natural persons acting as consumers and prevails over any other provision of these Terms that would be less favourable to them. The information is also summarised on the Consumer information page.

21.1. Pre-contractual information. Before ordering, on the activation page, the consumer receives the information required by Article 6 of Government Emergency Ordinance (OUG) No. 34/2014: who we are, what the package includes, the total price including VAT (for a subscription, the cost of each Subscription Month), the payment method, the publication time, the duration, the Minimum Term of the chosen package (Presence: 12 months; Complete: 6 months; Growth: 3 months), with the monthly subscription paid throughout it, the cancellation conditions, the fact that the domain is bought and paid for separately, at the registrar, the right of withdrawal and its conditions, the guarantees and the ways of handling complaints. The order is submitted with the button “Order with obligation to pay”.

21.2. Confirmation on a durable medium. After payment, the consumer receives by email the confirmation of the contract, these Terms (the accepted version), the consumer information, the withdrawal form and, where applicable, the confirmation of the request for immediate start, all in PDF format.

21.3. Right of withdrawal. The consumer has the right to withdraw from the contract, without giving any reason, within 14 days of the conclusion of the contract (the day on which e-gata confirms payment of the first pro forma invoice, Article 4.4). To withdraw, the consumer informs us by an unequivocal statement, before the period expires:

  • through the “Withdraw from the contract here” function on e-gata.ro (Article 8.6), with immediate confirmation by email;
  • by email to contact@e-gata.ro;
  • by post, to Str. Pescărușului nr. 4, bl. D4, sc. B, et. 4, ap. 29, Sector 2, București;
  • they may use the withdrawal form, but this is not mandatory.

The period is respected if the statement is sent before the 14 days expire. Withdrawal terminates the whole contract, including the Minimum Term of the package.

21.4. Start of the service during the withdrawal period. By a separate, optional and unticked box, the consumer may ask e-gata to start performance (building and publishing the website, configuring the domain, the email) before the withdrawal period expires. If they do not make this request, e-gata starts performance after the 14-day period following payment has expired, and the website is published afterwards; the first Subscription Month begins on the Publication Date in any case, so the consumer does not pay for the waiting days. The request may also be made after ordering, by an express request sent on a durable medium (the link in the order email).

21.5. Effects of withdrawal and refund.

  • e-gata refunds all amounts received from the consumer without undue delay and within no more than 14 days of the date on which it was informed of the withdrawal, using the same means of payment used by the consumer (a transfer to the account from which they paid), unless the consumer has expressly agreed otherwise. The consumer does not pay any fee for the refund.
  • If the consumer requested the start of the service under Article 21.4 and withdraws within the 14-day period, the consumer owes an amount proportionate to the services provided up to the date on which they informed us of the withdrawal, in comparison with the full coverage of the contract. The amount is calculated by days: the price of the paid Subscription Month × the days of service from publication until the request ÷ the number of days in the Subscription Month. The consumer owes nothing for Subscription Months that have not started, nor for the rest of the Minimum Term. The consumer loses the right of withdrawal if the service has been fully performed within the withdrawal period, at their express request.
  • Through the commercial guarantee in Article 8.5, e-gata waives this amount if the request is made within the first 14 days after the website is published and the consumer has not used the guarantee before. In practice, a consumer's first withdrawal within these periods results in a full refund.
  • On withdrawal, the contract terminates on the date of the request, the website is taken offline, and the domain remains in the consumer's name. Upon request, e-gata hands over the website archive and communicates the DNS records (Article 8.7).

21.6. Legal guarantee of conformity. For the digital services in the package (the website as an online service, hosting, email), the consumer benefits from the legal guarantee of conformity under Government Emergency Ordinance No. 141/2021, throughout the contract. If a digital service does not conform to the contract, the consumer is entitled to have it brought into conformity and, if that is not possible or is not done within a reasonable time, to a proportionate price reduction or to termination of the contract, with a refund of the corresponding part; in that case the consumer does not owe the rest of the Minimum Term. For services performed by people (for example, social media and ad management), contractual liability under the Civil Code applies. The website or email not working because the domain has expired or because of DNS changes made by the consumer or their registrar is not a lack of conformity attributable to e-gata (Article 10.1). Complaints are sent to contact@e-gata.ro; we reply within no more than 5 working days. The commercial guarantee in Article 8.5 is in addition to these rights and does not limit them.

21.7. Changes. e-gata may change the digital services (for example, the email platform) only for valid reasons (security, technical updates, change of providers), at no cost to the consumer and with prior notice by email. If a change significantly and negatively affects access to or use of the service, the consumer may terminate the contract free of charge within 30 days of the notice or of the change, with a refund of the unused part of the paid month and without owing the rest of the Minimum Term. Changes to prices and to the Terms apply only 30 days after notice (the price does not change during the Minimum Term of the package), and a consumer who does not accept them may cancel free of charge before they apply.

21.8. Liability. In relation to consumers, e-gata is liable in accordance with the law for non-performance or improper performance of the contract. The limitations in Article 15 apply only to the extent permitted by law.

21.9. Data of visitors to an individual's website. If the consumer's website has a contact form, e-gata processes the messages received only technically, to deliver them, and deletes them after 90 days, applying the same security measures as in the DPA. If the website is used for an economic activity, the consumer is responsible for informing visitors in accordance with the GDPR.

21.10. Complaints and alternative dispute resolution (ADR / SAL). Complaints are sent to contact@e-gata.ro. If we do not reach a solution, the consumer may contact the National Authority for Consumer Protection (ANPC), including through the alternative dispute resolution procedure: reclamatiisal.anpc.ro. Secure IT Solutions SRL is willing to take part in ADR procedures. 21.11. Courts. The consumer may bring an action before the court of their domicile or before the court of e-gata's registered office, in accordance with the law. The provision in Article 20 on the courts of e-gata's registered office does not apply to consumers. Consumers domiciled in another EU Member State benefit from the jurisdiction rules of Regulation (EU) No 1215/2012.

21.12. Governing law. The contract is governed by Romanian law, without depriving the consumer of the protection afforded by the mandatory provisions of the law of the state of their habitual residence, where that law applies.

21.13. The Minimum Term, for consumers. In brief, for consumers:

  • the Minimum Term of the chosen package (Presence 12 months, Complete 6 months, Growth 3 months) and the monthly price including VAT (€48.28, €169.28 or €326.58 respectively) are shown before ordering, in the order summary and in the pre-contractual information box, and are confirmed by email;
  • within the first 14 days after the contract is concluded (statutory withdrawal) and within the first 14 days after publication (the guarantee in Article 8.5), the consumer may leave the contract without owing the remaining months;
  • after that, a cancellation made during the Minimum Term takes effect at the end of the Minimum Term, and the service continues until then (Article 8.9(b)); the consumer pays no penalties, cancellation fees or other amounts apart from the monthly fees;
  • if the subscription terminates for non-payment, the consumer owes only the fees that have fallen due for the months in which they received the service (Article 8.9(d));
  • after the Minimum Term, the subscription continues monthly, with no new commitment, and may be cancelled at any time (Article 8.9(e)).
